  • Services for the establishment of YUXINOUCR Express Joint Venture

ZHH's team was appointed by Chongqing Transportation Holding (Group) Co., Ltd. to work together with China Railway International Multimodal Transport Co., Ltd. and subsidiaries of Russian Railways, Kazakhstan Temir Zholy, Deutsche Bahn to form YUXINOU (Chongqing) Logistics Co., Ltd. (YUXINOU), a joint venture in which 5 shareholders from the said 4 countries own shares. ZHH's team fully participated in a series of legal services including negotiation, contract preparation and company establishment before and after this joint venture was established. Our professional services ensured that China would have its core and leading role in YUXINOU. On the other hand, we meticulously helped the client bridge the gap between Chinese-style company preparation and international operating practices, and built a standardized, legal, and efficient working platform for the establishment and operation of this company. Since the establishment of YUXINOU, ZHH's team has been serving as the company's legal consultant to help resolve various legal matters. ZHH's team assisted YUXINOU (Chongqing) Logistics Co., Ltd. in truly assuming its important role of YUXINOU international railway intermodal transport channel in the construction of the Belt and Road, making it an important support for serving the initiative.

 

  • Full legal services to Chang'anAutomobile for its acquisition of Chang'an Suzuki

On September 4, 2018, Chongqing Chang'an Automobile Co., Ltd. and Suzuki Motor Corporation ("Suzuki") reached the Share Purchase Agreement through friendly negotiation, whereby Chang'an Automobile would purchase 40% of Chang'an Suzuki's shares held by Suzuki and 10% of Chang'an Suzuki's shares held by Suzuki Motor (China) Investment Co., Ltd. As the special legal consultant of Chang'an Automobile for this project, ZHH provided full legal services to Chang'an Automobile. The arduous legal work and complicated procedures involved in this acquisition placed high requirements on professionalism in this respect. In a short time, lawyers carefully completed due diligence for this project, designed the transaction structure, drafted transaction documents, cooperated on business negotiation, and carried out detailed, authoritative research and argumentation on legal issues involved in this project, in a way to help Chang'an Automobile become a 100% controlling shareholder of Chang'an Suzuki.

 

  • Services to CCCIC for the acquisition of IFC's shares in ACIC at over RMB 500 million

In February 2012, Ancheng Property & Casualty Insurance Co., Ltd. (ACIC) and International Finance Corporation (IFC) signed the Share Subscription Agreement whereby IFC would sell all of its shares held in ACIC to Chongqing City Construction Investment Corporation (CCCIC) for more than RMB 500 million. After being retained by CCCIC, ZHH's team provided full legal services for this project, including conducting the legal analysis of transactions under this project, drafting, reviewing and revising transaction documents, and participating in negotiations with IFC on behalf of CCCIC, assisting CCCIC in completing procedures for such share transfer to be applied to competent approval, filing and registration authorities, including but not limited to CIRC approval, filing at Chongqing Municipal Commission of Commerce, change registration at Chongqing Administration for Industry and Commerce, and change registration at Chongqing Share Transfer Center.
